1. Acceptance of Terms

By accessing and using Chronogen's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Service Description

Chronogen provides lead generation and online advertising services designed to help businesses identify, target, and engage potential customers. Our services include but are not limited to:

• Lead qualification and scoring
• Multi-channel marketing campaigns
• Social media advertising and integration
• Analytics and performance reporting
• Customer relationship management integration

3. Pricing and Payment Terms

Our services are provided on a performance-based pricing model where clients pay per qualified lead delivered. Pricing tiers are as follows:

• Starter Plan: $40 per qualified lead
• Professional Plan: $50 per qualified lead
• Enterprise Plan: $60 per qualified lead

Payment is due within 30 days of invoice date. Late payments may incur additional fees and may result in service suspension.

4. Lead Qualification Standards

A "qualified lead" is defined as a potential customer who meets the following criteria:

• Matches the client's specified target demographic and geographic requirements
• Has demonstrated genuine interest in the client's products or services
• Has provided accurate contact information
• Has consented to be contacted by the client
• Meets any additional qualification criteria specified in the service agreement

5. Client Responsibilities

Clients are responsible for:

• Providing accurate information about their target market and business objectives
• Responding to qualified leads in a timely and professional manner
• Complying with all applicable laws and regulations in their marketing activities
• Maintaining the confidentiality of any proprietary information shared by Chronogen
• Providing feedback on lead quality to help optimize campaign performance

6. Data Protection and Privacy

Chronogen is committed to protecting the privacy and security of all data collected through our services. We comply with applicable data protection laws and maintain appropriate security measures to protect personal information. 7. Service Level Commitments

While we strive to deliver consistent results, lead generation performance can vary based on market conditions, industry factors, and campaign parameters. Chronogen does not guarantee specific lead volumes or conversion rates, but we commit to:

• Delivering leads that meet agreed-upon qualification criteria
• Providing transparent reporting on campaign performance
• Continuously optimizing campaigns based on performance data
• Responding to client inquiries within one business day

8. Limitation of Liability

Chronogen's liability for any claims arising from our services shall not exceed the total amount paid by the client for services in the preceding 12 months. We are not liable for indirect, incidental, special, or consequential damages, including but not limited to lost profits or business opportunities.

9. Termination

Either party may terminate the service agreement with 30 days written notice. Upon termination, the client remains responsible for payment of all qualified leads delivered prior to the termination date. Chronogen will cease all marketing activities on behalf of the client within 48 hours of termination notice.

10. Intellectual Property

All proprietary technology, methodologies, and intellectual property developed or used by Chronogen remain the exclusive property of Chronogen. Clients retain ownership of their business information and marketing materials provided to Chronogen.

11. Compliance and Legal Requirements

All marketing activities conducted by Chronogen comply with applicable laws and regulations, including but not limited to:

• CAN-SPAM Act
• Telephone Consumer Protection Act (TCPA)
• General Data Protection Regulation (GDPR)
• California Consumer Privacy Act (CCPA)
• Platform-specific advertising policies

12. Modifications to Terms

Chronogen reserves the right to modify these terms of service at any time. Clients will be notified of significant changes via email at least 30 days prior to implementation. Continued use of our services after modification constitutes acceptance of the updated terms.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these terms or our services shall be resolved through binding arbitration in El Paso, Texas.
